6. Intellectual Property Rights

6.1 Trademarks
The Round Table Pizza name, logo, trade dress, and all related marks, names, and slogans are trademarks or service marks of the Company. Nothing in these Terms grants you any right or license to use any trademark, service mark, trade name, or logo of Round Table Pizza without our prior written consent. Unauthorized use of our trademarks is strictly prohibited and may constitute infringement under applicable law.
6.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website solely for personal, non-commercial purposes related to ordering food and using our services. This license does not include any right to:

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROUND TABLE PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT ON THE WEBSITE;
- WARRANTIES THAT FOOD PRODUCTS WILL MEET YOUR SPECIFIC DIETARY, HEALTH, OR NUTRITIONAL REQUIREMENTS;
- WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE WEBSITE WILL BE COMPATIBLE WITH ANY PARTICULAR DEVICE OR OPERATING SYSTEM.
We do not warrant that any food item is free from allergens. Customers with food allergies or dietary restrictions are solely responsible for reviewing ingredient information and consulting with us directly before placing orders. While we make reasonable efforts to accommodate dietary needs, we cannot guarantee that cross-contamination will not occur in food preparation environments.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES FEDERAL AND STATE LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND APPLICABLE CONSUMER PROTECTION STATUTES:
| Liability Category | Limitation |
|---|---|
| Indirect, Incidental, Special Damages | Round Table Pizza shall not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever. |
| Loss of Profits or Revenue | We are not liable for any loss of profits, revenue, data, goodwill, or other intangible losses. |
| Aggregate Liability Cap | Our total liability for any claims arising under these Terms shall not exceed the greater of (a) the amount paid by you in the three (3) months preceding the claim, or (b) One Hundred United States Dollars ($100.00 USD). |
| Third-Party Services | We are not responsible for the acts or omissions of third-party delivery carriers, payment processors, or other service providers. |
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law. Nothing in these Terms shall limit our liability where such limitation is prohibited by law, including liability for personal injury caused by our negligence or for fraudulent misrepresentation.
9. Indemnification
You agree to indemnify, defend, and hold harmless Round Table Pizza, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, and successors (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:
- Your access to or use of the Website or our services;
- Your breach of any provision of these Terms;
- Your violation of any applicable law, regulation, or third-party right, including intellectual property or privacy rights;
- Any User Content you submit, post, or transmit through the Website;
- Any dispute between you and any third party;
- Your negligence, willful misconduct, or fraud.
We reserve the right, at our own expense, to assume exclusive control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses. You shall not settle any claim without our prior written consent.
10. Third-Party Links and Services
The Website may contain links to third-party websites, platforms, or services that are not owned or controlled by Round Table Pizza. These links are provided for your convenience only. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not endorse, recommend, or make any representations regarding the accuracy or reliability of third-party content.
Your access to and use of third-party websites is governed by the terms and conditions and privacy policies of those respective websites. We encourage you to review the terms and privacy policies of every third-party website you visit. Round Table Pizza shall not be liable for any damages or losses arising from your interaction with third-party websites or services.
11. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using this Website, you consent to the collection and use of your information as described in our Privacy Policy.
To the extent applicable, we comply with relevant United States data protection laws and regulations, including the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) for California residents, and applicable state privacy statutes. We do not sell personal information to third parties for commercial purposes without your consent, as required by applicable law.
12. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Round Table Pizza is registered or principally operates, without regard to its conflict of law provisions.
For any legal proceedings not subject to binding arbitration as described in Section 13 below, you hereby consent to the exclusive jurisdiction and venue of the federal and state courts located within the United States. You waive any objection to the exercise of personal jurisdiction over you by such courts and to venue in such courts.
Notwithstanding the foregoing, Round Table Pizza retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
These Terms shall be interpreted in accordance with applicable federal law, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 45 et seq.) governing unfair or deceptive business practices, and applicable state consumer protection statutes, including the California Consumer Legal Remedies Act (CLRA) where applicable.
13. Dispute Resolution and Arbitration
13.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, controversy, or claim informally by contacting us at [email protected]. We will make good-faith efforts to resolve the matter within thirty (30) days of receiving your written notice. If we are unable to resolve the dispute informally within that period, either party may proceed to binding arbitration as set forth below.
13.2 Binding Arbitration
EXCEPT AS PROVIDED BELOW, ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR OUR SERVICES SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, rather than in court. Arbitration shall be conducted by a recognized arbitration provider, such as the American Arbitration Association (AAA), under its Consumer Arbitration Rules, as modified by these Terms. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
13.3 Class Action Waiver
YOU AND ROUND TABLE PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.
13.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek relief in small claims court for disputes within that court's jurisdictional limits. Additionally, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property rights pending arbitration.
13.5 Arbitration Costs
Filing fees and arbitration costs shall be allocated in accordance with the applicable arbitration rules. Round Table Pizza will not seek attorneys' fees in an arbitration unless the arbitrator finds your claim to be frivolous. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise.
14. Term and Termination
These Terms shall remain in full force and effect for as long as you use the Website or maintain an account with us. Either party may terminate this agreement at any time:
- By You: You may terminate your use of this Website and close your account at any time by contacting us or using any account deletion features provided on the Website;
- By Round Table Pizza: We may suspend or permanently terminate your access to all or any part of the Website or your account at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, our business, or third parties, or for any other reason we deem appropriate.
Upon termination:
- Your right to use the Website and our services will immediately cease;
- Any outstanding obligations, including unpaid balances, shall remain due and payable;
- We may, but are not obligated to, delete your account information and User Content;
- Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.
15. Changes to Terms
We reserve the right to modify these Terms of Service at any time at our sole discretion. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page;
- Post the revised Terms on the Website;
- Provide notice via email or prominent Website notification where we deem appropriate for material changes.
Your continued use of the Website after the effective date of any such changes constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must discontinue use of the Website and, if applicable, delete your account. We encourage you to review these Terms periodically to stay informed of any updates.
No oral or written information provided by our employees or agents shall constitute a modification to these Terms unless such modification is made in writing and signed by an authorized representative of Round Table Pizza.
16. Severability
If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and all remaining provisions shall continue in full force and effect.
In the event that a court finds that the class action waiver set forth in Section 13.3 is unenforceable for any reason, the entire arbitration agreement in Section 13 shall be null and void and any dispute shall be resolved by a court of competent jurisdiction. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
17. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the Website, constitute the entire agreement between you and Round Table Pizza with respect to your use of the Website and supersede all prior and contemporaneous agreements, negotiations, representations, and understandings, whether written or oral, relating to the subject matter herein.
A failure by either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any breach of these Terms shall constitute a waiver of any prior, concurrent, or subsequent breach.
18. Force Majeure
Round Table Pizza shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions or orders, labor disputes, power outages, internet service disruptions, cyberattacks, supply chain failures, or other events constituting force majeure. During such events, our obligations under these Terms shall be suspended to the extent made necessary by the force majeure event.
